software

Financial leadership for technology companies where intellectual property is the primary asset.

Software companies in distress present a unique challenge because the most valuable assets are intangible. Customer contracts, source code, SaaS revenue streams, and development talent represent the enterprise value, not physical equipment. Lighthouse has served as receiver and interim CFO for software companies, managing restructurings, lender transitions, and asset dispositions where IP valuation drives the outcome.

CHALLENGES

When a software company is in financial distress, the risk is that the developers leave, the customers churn, and the codebase becomes abandoned. We stabilize the business around the assets that actually matter: the product, the recurring revenue, and the people who maintain it.

proven results

Served dual engagements as financial advisor and interim CFO for a software company.

Challenge: The software company had unwittingly breached one or more covenants on its primary credit facility and the relationship with their lender was breaking down.

‍The Solve: Lighthouse worked to provide assurances to the lender, giving time to locate takeout financing. Lighthouse facilitated the refinance and later further restructuring of the credit facilities with the new lender, in order to take advantage of the company’s collateral structure and high recurring revenue base.

‍The Outcome: Lighthouse helped the company establish a new long-lasting lending relationship and maximize its capital structure with further restructuring, with Lighthouse acting as interim CFO. An upgrade to the company’s accounting platform was smoothly implemented and other initiatives headed by Lighthouse coincided with sustained margin growth.

how we help

How we support software company engagements.

1. Revenue & IP Assessment: We evaluate recurring revenue, customer concentration, contract terms, source code ownership, and key-person dependencies to understand the true enterprise value and its vulnerabilities.

2. Customer & Talent Retention: We implement measures to preserve customer relationships and retain critical development and support staff — the assets that disappear fastest in a distressed technology company.

3. Lender & Investor Communication: We manage stakeholder communications with the financial clarity that lenders and investors require including realistic projections that account for SaaS metrics, churn, and development costs.

4. Restructuring or Sale Execution: We execute the right path, whether it's a restructuring around viable product lines, a sale to a strategic acquirer who values the technology and customer base, or a disciplined wind-down.
